1. Introduction
These Terms of Use (“Terms of Use”) as may be amended from time to time, together with any documents, policies, or terms they incorporate by reference(collectively, the “Terms”) are entered into by and between you and Aifilia, Inc. a Delaware corporation (“Aifilia Platform”, “The Site”, “we”, “our” or “us”). For purposes of these Terms, “you” refers to the individual visiting, viewing, using, or accessing the Aifilia Platform. You acknowledge and agree that by (i) visiting, viewing, using, or accessing the Platform, (ii) sending files to Aifilia via third-party services (e.g., Box, Dropbox, WeTransfer), or (iii) clicking “Agree”, “Purchase”, “Submit”, or similar links that you have read, understand, and agree to be bound by these Terms, irrespective of whether you are a guest or a registered user of the platform. If you do not agree to these terms, then you may not access or use the platform. Aifilia allowance of your use and access to the platform is expressly conditioned upon your assent to all of the terms and conditions of these terms. the materials contained in this platform are protected by applicable copyright and trademark law.
2. Privacy policy
Any personal information submitted in connection with your use of the Aifilia Platform is subject to our privacy policy found at https://www.aifilia.com/privacy-policy/ (the “Privacy Policy”), which is hereby incorporated by this reference. We will use information about you that we obtain either directly from you or that we obtain by nature of your use of the Platform in accordance with our Privacy Policy solely in furtherance of providing you and improving the Platform.
3. Registration
To use certain Services, You will need to register and obtain an account and password. When You register, the information You provide to Us during the registration process will help Us in offering content, customer service, network management and other services. You are solely responsible for maintaining the confidentiality of Your account, User Name, and Password (collectively, Your “Account”) and for all activities associated with or occurring under Your Account. You represent and warrant that Your Account information will be accurate at all times. You must notify Us (a) immediately of any unauthorized use of Your Account and any other breach of security, and (b) ensure that You exit from Your Account at the end of each use of the Services. To the extent permissible under applicable law, we cannot and will not be responsible for any loss or damage arising from Your failure to comply with the foregoing requirements or as a result of use of Your Account, either with or without Your knowledge, prior to Your notifying Us of unauthorized access to Your Account. You may not transfer Your Account to any other person and You may not use anyone else’s Account at any time without the permission of the Account holder. In cases where You have authorized or registered another individual, including a minor, to use Your Account, You are fully responsible for (i) the online conduct of such individual; (ii) controlling that individual's access to and use of the Services; and (iii) the consequences of any misuse.
4. General Disclaimer
Aifilia uses AI/machine learning to predict engagement with videos and images by merging information from deep learning systems and human biometrics.
We do not make warranties, expressed or implied, and hereby disclaim and negate all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, we do not warrant or make any representations concerning the accuracy, likely results, or reliability of the prediction made by Aifilia’s algorithms about any specific content.
5. Content restrictions and content-analysis policy
You may not submit any content that:
• Infringes any third party’s copyrights or other rights (e.g., trademark, privacy rights, etc.);
• Is sexually explicit or promotes a sexual service;
• Is defamatory;
• Is harassing or abusive;
• Contains hateful or discriminatory speech;
• Promotes or supports terror or hate groups;
• Contains instructions on how to assemble explosive/incendiary devices or homemade/improvised firearms;
• Exploits or endangers minors;
• Depicts or encourages self-harm or suicide;
• Depicts (1) unlawful real-world acts of extreme violence, (2) vivid, realistic, or particularly graphic acts of violence and brutality, (3) sexualized violence, including rape, torture, abuse, and humiliation, or (4) animal cruelty or extreme violence towards animals;
• Promotes fraudulent or dubious money-making schemes, proposes an unlawful transaction, or uses deceptive marketing practices;
• Contains false or misleading claims about (1) vaccination safety, or (2) health-related information that has a serious potential to cause public harm;
• Contains false or misleading information about voting;
• Contains conspiracy-related content where the underlying conspiracy theory makes claims that (1) suggest that a real-world tragedy did not occur, or (2) violate other content restrictions; or
• Violates any applicable law.
Submitting any such content would immediately disqualify it from analysis.
Aifilia maintains the right to ultimately decide which content submitted to the closed beta program will be analyzed and may select to not analyze content without providing further motivation.
6. Intellectual Property Rights
Aifilia Platform contains copyrighted materials, trademarks, proprietary and confidential information, and intellectual property of Aifilia (collectively, “Proprietary Materials”), including without limitation source code, video, text, software, photos, graphics, images, music, and sound and functionality of the returned analyses. You agree not to modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Materials. Proprietary Materials may only be accessed through the Platform, and not by or from any other site or means. The right of access to the Platform does not grant to you any right to download or store any Proprietary Materials in any medium, other than (i) that downloadable content that may be provided for certain training courses.

We have not reviewed all of the sites linked from the platform and we are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Us or of the site. Use of any such linked website is at the user's own risk.
8. Site terms of use and modification
Wmay revise these Terms of Use for the Aifilia Platform at any time withoutnotice. By using the Aifilia Platform you are agreeing to be bound by the thencurrent version of these Terms of Use.
9. Indemnification
You agree to defend, indemnify and hold harmless Aifilia, its directors, employees, licensors, independent contractors, providers, subsidiaries, and affiliates, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) (hereinafter, “Claims”) arising out of or relating to : (i) your violation of these Terms; (ii) any information you post to the Aifilia Platform; (iii) any use by you of the Aifilia Platform’s material, content, services, or products other than as expressly authorized in these Terms; or (iv) your use of any information obtained from the Aifilia Platform.
